Section 1. ANNUAL BUSINESS MEETINGS. The annual business meeting of the Board shall be held in September of each year, the date, place, and hour to be designated by the Board of Directors.Posted by PRO Thu, 20 Aug 2009 20:49:00 GMT
Section 2. MEETINGS OF DIRECTORS. The Board of Directors shall meet as needed. The Chairman of the Board shall designate the time and place of the meetings. Absence from two (2) meetings during the year shall be construed as resignation, unless the Association prior to the Board of Directors meeting receives a request for excused absence. When a decision needs to be made that cannot be delayed until the regular meeting of the Board of Directors, a vote may be taken by any electronic means, including but not limited to telephone, facsimile, e-mail, teleconference, video conference, at the direction of the Chairman.Posted by PRO Thu, 20 Aug 2009 20:51:00 GMT
Section 3. OTHER MEMBERSHIP MEETINGS. Meetings of the Members may be held at other times as the Chairman or the Board of Directors may determine; or upon the notice, by appropriate means, of at least ten percent (10%) of the Members eligible to vote.Posted by PRO Thu, 20 Aug 2009 20:53:00 GMT
Section 4. NOTICE OF MEETINGS. Notice of meetings by appropriate means, including electronic means, shall be given to every Member entitled to participate in the meeting at least one (1) week preceding all meetings.
